Directors and officers liability (D&O) insurance has become a prerequisite for many directors and officers of private and nonprofit corporations. This coverage protects directors and officers from personal liability for their acts or omissions undertaken on behalf of the corporate entity and, in some cases, reimburses the entity for indemnification of its directors and officers. This course reviews the coverage terms of D&O policies after briefly discussing the basics of corporate organization and the roles of directors and officers. This course also examines the broad spectrum of potential claims against directors and officers, and the insurance strategies that can be implemented to minimize those risks.
